1. About AskUp

AskUp (“AskUp”, “we”, “us”, “our”) operates an online platform that allows independent food businesses (“Shops”) to list discounted food items they expect may be available for same-day or next-day collection (“Meals”).

Customers (“Users”) may request to purchase Meals via the platform.
A Meal is only sold if the Shop confirms availability.

AskUp acts solely as a marketplace facilitator and is not the seller of any food.

All food is prepared, handled, stored, and supplied by the Shop.

2. Acceptance of These Terms

By accessing or using the AskUp website or services, you agree to these Terms & Conditions, together with our Privacy Policy, Refund Policy, and Food Safety Notice.

If you do not agree, you must not use the platform.

3. Marketplace Role & Legal Relationship

AskUp does not cook, prepare, store, handle, or supply food.

AskUp does not control food quality, ingredients, allergens, or safety.

The Shop is the legal seller of the Meal.

The contract for sale is between the User and the Shop, not AskUp.

A contract for a Meal is formed only when the Shop confirms the User’s request.

Submitting a request does not guarantee availability and does not create a binding contract.

4. Eligibility

Users must:

Be at least 16 years old;

Be legally able to purchase food products;

Have a valid payment method;

Be able to collect the Meal within the Shop’s stated pickup window.

Shops must:

Be legitimate, registered food businesses;

Hold valid food hygiene ratings;

Comply with all applicable UK food safety laws, including the Food Safety Act 1990 and Food Hygiene Regulations.

5. Meal Listings

Shops are solely responsible for:

The accuracy of listing information;

Prices and discounts shown;

Images and descriptions;

Allergen and ingredient information (as required by law);

Ensuring food is safe and suitable at the time of collection.

Meals may include surplus, end-of-day, or discounted items.

Listings automatically expire at the Shop’s stated cutoff time and may be removed without notice.

6. Requesting a Meal & Payment Authorisation

When a User requests a Meal:

The User submits a request, not a confirmed purchase;

The User’s payment method is authorised via Stripe, but no funds are captured at this stage;

The Shop is notified and may accept or decline the request.

If the Shop:

Confirms the request → payment is captured and the contract is formed;

Declines or does not respond before the confirmation deadline → the authorisation is automatically released and no charge is made.

AskUp does not store or process card details.

7. Confirmation Deadlines & Expiry

Each request has a confirmation deadline set by the Shop.

If the Shop does not confirm before the deadline:

The request expires automatically;

The User is not charged;

No contract is formed.

8. Pickup & User Responsibilities

Once a request is confirmed:

Users must:

Arrive within the Shop’s stated pickup window;

Show valid order confirmation if requested;

Check allergen information and suitability before consuming.

If a User fails to collect a confirmed Meal:

The order is treated as fulfilled;

No refund is provided;

The Shop is paid in full.

This protects Shops from no-shows.

9. Payouts & Auto-Release

After collection:

Users may press “Confirm Pickup”, triggering payout to the Shop; or

If no action is taken, payment is auto-released 24 hours after the pickup window, provided no issue has been reported.

If an issue is reported before release:

Payout is paused while the issue is reviewed.

10. Issues, Disputes & Refunds

Users may report issues such as:

Incorrect item provided;

Missing order;

Food that appears unsafe or unfit for consumption.

When an issue is reported, AskUp may:

Pause payout;

Request information from both parties;

Review evidence provided.

Possible outcomes include:

Full or partial refund to the User;

Release of payment to the Shop;

Dismissal of the claim.

Nothing in this section limits a User’s statutory rights under UK consumer law.

11. Food Safety & Allergen Notice

All food safety and allergen obligations rest solely with the Shop.

Users acknowledge that:

Meals may be discounted, surplus, or prepared earlier in the day;

Allergen information is provided by the Shop;

AskUp does not guarantee allergen-free food.

Under UK law, Shops must provide accurate allergen information upon request.

If a User becomes ill or believes food was unsafe, the matter is between the User and the Shop.
AskUp may assist with communication but accepts no liability.

12. Shop Obligations

Shops agree to:

Provide accurate listings and images;

Comply with food safety and hygiene laws;

Set realistic pickup times;

Honour confirmed requests.

Shops must not:

Mislead Users;

Upload fake or misleading listings;

Provide knowingly unsafe food.

AskUp may suspend or remove Shops that breach these terms.

13. Fees

AskUp charges:

A platform fee of 10% per confirmed Meal;

Stripe’s payment processing fees.

Fees are deducted automatically from the Shop’s payout.
Fees may change with notice.

14. Account Use & Platform Behaviour

Users and Shops must:

Provide accurate information;

Use the platform lawfully and honestly;

Not attempt fraud, misuse, or interference.

AskUp may suspend or terminate accounts for breaches.

15. Limitation of Liability

To the maximum extent permitted by law, AskUp is not liable for:

Food quality, allergens, or safety;

Illness or allergic reactions;

Missed pickups or expired requests;

Shop actions or listing inaccuracies;

Payment processor outages or delays.

AskUp’s total liability is limited to the platform fees earned from the relevant transaction.

16. Suspension & Termination

AskUp may suspend or terminate access:

For breach of these Terms;

For fraudulent or unsafe activity;

If required by law;

If a Shop’s hygiene rating becomes unacceptable.

Users may close their accounts at any time.

17. Changes to These Terms

We may update these Terms from time to time.
Continued use of the platform after changes constitutes acceptance.

18. Governing Law

These Terms are governed by the laws of England and Wales.
Any disputes shall be resolved in the courts of England and Wales.
